The agreement that governs registration, paid access, and use of the KPMS training simulator.

1. What KPMS is and who these Terms bind
The Kelly Patient Management System (“KPMS”, “we”, “us”) is a healthcare administration and revenue-cycle training simulator delivered as a web application. These Terms of Service form an agreement between KPMS and each person who registers an account or uses the platform (“you”).
KPMS is an educational healthcare revenue-cycle training simulator. It is not an electronic health record, not a live patient accounting system, and not a system of record for any real patient, provider, payer, or account. Learners who meet the published requirements receive a KPMS Certificate of Completion, which evidences completion of KPMS training only. It is not a professional certification, licence, accreditation, or government-recognized credential.
If you access KPMS through a seat purchased by an employer, school, or training organization, your use is also subject to the KPMS Organization / Institutional License Agreement entered into by that organization.
2. Account registration
You must register an individual account with a valid email address to use KPMS. You agree that the registration information you provide is accurate and that you will keep it current.
Accounts are issued to a single named person. KPMS accounts are not group accounts, shared classroom logins, or generic department logins.
KPMS does not offer anonymous accounts. Certain roles — instructor, organization administrator, and platform administrator — are granted by KPMS or by an authorized organization administrator and cannot be self-assigned.
3. Account security
You are responsible for maintaining the confidentiality of your sign-in credentials and for all activity that occurs under your account.
You must notify KPMS promptly if you believe your credentials have been disclosed or your account has been used without your authorization.
KPMS records account activity — including sign-in events, administrative actions, role changes, entitlement changes, and scoring events — in an audit log used for support, billing accuracy, and security investigation.
4. Authorized use and prohibited account sharing
Your account and any seat assigned to you are licensed to you personally for training use. You may not share your credentials with, or allow your account to be used by, any other person.
A single seat may be assigned to only one active learner at a time. Rotating multiple learners through one seat concurrently, or using one account to deliver training to a class, is not permitted.
KPMS may suspend an account where credential sharing or concurrent use is reasonably indicated.
5. Training access and paid plans
Current KPMS commercial models are: Individual Student Access (a one-time purchase of $149 granting 90 days of access); Professional Membership (a recurring subscription of $59 per month); Employer plans (annual organization licences sold in seat tiers of 5, 10, 25, 50, and 100 seats); School / Training Organization plans (per-student annual licences and an annual site licence); and Enterprise / Custom arrangements quoted by KPMS.
Prices, seat counts, and access periods shown on the KPMS pricing page at the time of purchase govern that purchase. KPMS may change prices prospectively; a change does not alter an access period you have already purchased.
Enterprise / Custom access is governed by the applicable proposal, quote, order form, or written agreement, which controls over these Terms where the two conflict.
6. Access periods, expiration, and renewal
One-time purchases grant access for the stated period, beginning when payment is confirmed and access is provisioned to your account. Individual Student Access is a 90-day access period.
Organization licences run for an annual term with a licence expiration date recorded on the organization. Seats purchased during an active term inherit the organization’s existing licence expiration date and do not extend it. Extending the term is a separate renewal transaction.
Renewals are handled as separate purchases that extend the licence term. KPMS sends renewal and expiration reminders in the application and by email at approximately 30, 14, 7, and 1 day before expiry where reminders are enabled for your account.
When an access period expires, training content becomes locked. Your training records, scores, badges, and issued certificates are retained and remain verifiable.
7. Recurring memberships and cancellation
Professional Membership renews automatically each month until cancelled. Cancellation takes effect at the end of the period you have already paid for; access continues until that period ends and no further charge is made.
Cancelling a Professional Membership does not automatically generate a refund of the current paid period. Whether any charge is refundable is governed by the KPMS Refund Policy.
If a recurring payment fails, KPMS may apply a short grace period during which access continues while the payment method is updated. If payment is not completed within the grace period, access is locked.
You may cancel from the billing area of your account or by contacting KPMS support.
8. Payment obligations
Payments are processed by Stripe. By completing checkout you authorize the applicable charge, including recurring charges for subscription plans, and you confirm you are authorized to use the payment method presented.
Amounts are stated in U.S. dollars and are exclusive of any taxes that may apply. You are responsible for any taxes assessed on your purchase.
KPMS does not receive or store your full payment-card number. See the Privacy Policy for details.
9. Refund Policy
The KPMS Refund Policy is incorporated into these Terms by reference and governs refund eligibility for each commercial model, including individual purchases, memberships, employer plans, school plans, additional-seat purchases, and renewals.
10. Intellectual property
KPMS and its licensors own all rights in the KPMS platform and its content, including the curriculum, lessons, knowledge checks, rubrics, scoring logic, fictional patient accounts, claims, remittances, work queues, capstone scenarios, reports, certificate templates, interface design, and documentation (together, the “KPMS Content”).
Subject to these Terms and to payment, KPMS grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the KPMS Content for your own training or, for organization users, for internal training of the organization’s authorized users.
You may not copy, reproduce, republish, redistribute, publicly display, sell, resell, sublicense, rent, or otherwise commercially exploit the KPMS Content. You may not scrape, crawl, bulk-export, screen-record for redistribution, or use automated means to extract the KPMS Content, and you may not use the KPMS Content to build or train a competing product or a machine-learning model.
Reasonable personal study copies — such as your own notes and your own downloaded training summary or certificate — are permitted.
11. Acceptable use
You agree not to attempt to access another learner’s records, another organization’s data, or administrative functions you have not been granted; not to probe, scan, or interfere with the platform’s security, rate limits, or availability; and not to submit content that is unlawful, harassing, or infringing.
Do not upload real protected health information (PHI) or other real patient data into KPMS. KPMS is designed to be used entirely with fictional training data and does not require PHI for any exercise.
You agree not to misrepresent a KPMS Certificate of Completion as a professional certification, licence, or accredited credential.
12. Suspension and termination
KPMS may suspend or terminate an account for breach of these Terms, for credential sharing, for non-payment, for suspected fraudulent or unauthorized payment activity, or where required by law.
You may stop using KPMS at any time. Termination does not entitle you to a refund except as provided in the Refund Policy.
Training records are retained after termination so that completion can be verified. A Certificate of Completion that was legitimately earned remains verifiable unless it is revoked for cause — for example an academic-integrity violation; a fraudulent or unauthorized payment; a chargeback on the underlying purchase where revocation is appropriate; a certificate issued in error; or a determination that the published completion requirements were not in fact satisfied.
An ordinary voluntary customer-service refund is not, by itself, cause for revoking a legitimately earned Certificate of Completion. Certificate treatment on refund is governed by the KPMS Refund Policy.
13. Platform availability and modifications
KPMS is provided on an “as is” and “as available” basis. We do not promise uninterrupted availability and may perform maintenance, apply updates, or experience outages caused by third-party providers.
KPMS may add, modify, or retire specific lessons, scenarios, patient accounts, or features. We will not materially reduce the overall scope of the program you purchased during an access period you have already paid for.
14. Training disclaimers, certificates, and no guarantees
KPMS is an educational healthcare revenue-cycle training simulator. It is not an electronic health record, not a live patient accounting system, and not a system of record for any real patient, provider, payer, or account. Learners who meet the published requirements receive a KPMS Certificate of Completion, which evidences completion of KPMS training only. It is not a professional certification, licence, accreditation, or government-recognized credential.
All patients, payers, plan names, policy numbers, claim numbers, remittances, correspondence, and dollar amounts used in KPMS training are fictional and were authored for instruction. Any resemblance to a real person, employer, provider, or health plan is unintended.
KPMS does not provide medical advice, legal advice, coding advice for a live account, or compliance advice. Payer rules, laws, regulations, coding rules, billing requirements, and employer procedures change and must be independently verified before being applied in a real healthcare environment.
KPMS does not guarantee employment, job placement, interviews, wages, examination results, professional licensure, or any professional certification.
15. Limitation of liability
To the maximum extent permitted by law, KPMS is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or claim-processing outcomes, arising out of or relating to your use of KPMS.
To the maximum extent permitted by law, KPMS’s total aggregate liability arising out of or relating to KPMS or these Terms will not exceed the amounts you paid to KPMS for the access period giving rise to the claim.
Some jurisdictions do not allow certain limitations, in which case the limitations apply to the greatest extent permitted.
16. Disputes, governing law, and contact
Before filing any claim, you agree to contact KPMS and allow thirty (30) days to resolve the matter informally.
This informal resolution step does not limit, waive, or delay any right you have with your bank, card issuer, or payment network, including the right to dispute a charge, and does not limit or waive any right that cannot lawfully be waived under applicable law.
Governing law: [STATE/JURISDICTION TO BE COMPLETED BY OWNER/LEGAL REVIEW]. Venue for any dispute will be the state or federal courts located in that jurisdiction, and the parties agree to attempt good-faith resolution by direct discussion before commencing any proceeding.
Billing, privacy, and policy questions can be sent to the KPMS support email published on the KPMS website and in the KPMS application. Organization customers may also contact their KPMS account contact directly.
17. Changes to these Terms
KPMS may update these Terms. Each version carries a version number and effective date shown at the top of this page. Material changes will be notified in the application or by email before they take effect.
A change to these Terms does not alter or overwrite the version you accepted at the time of an earlier purchase; KPMS retains the version and date of each acceptance.
